Terms of Service

Last updated: November 5, 2026

Welcome to SoftVila. These Terms of Service (“Terms”) govern your use of softvila.com and all services and products provided by SoftVila (“we”, “us”, “our”), including website design and development, WordPress and WooCommerce development, UI/UX and brand design, SEO and performance optimisation, and our software products such as our ERP software. By using our website or ordering our services or products, you agree to these Terms.

1. Use of the Website

  • You agree to use this site only for lawful purposes and not to harm, disrupt or gain unauthorised access to it.
  • If you create an account, you are responsible for keeping your login details safe and for all activity under your account.
  • We may suspend or close accounts that break these Terms.

2. Quotes and Orders

Quotes are based on the scope you describe and are valid for 30 days unless stated otherwise. Work begins once the scope is agreed and any required advance payment is received. Requests outside the agreed scope may be charged separately and may change the delivery timeline.

3. Payments

  • Prices, payment schedule and currency are stated in the quote, invoice or product page.
  • Unless agreed otherwise, projects require an advance payment, with the balance due before final delivery or launch.
  • Late payments may pause work, and delivery of source files or licences may be withheld until full payment is received.
  • Subscription or renewal fees for software, hosting or support are billed according to the selected plan.

4. Client Responsibilities

You agree to provide accurate information, content, feedback and access (such as hosting or website logins) in a timely manner. Delays in providing these may delay delivery, including any delivery-time guarantee. You confirm that you have the right to use any text, images, logos or other material you send us.

5. Delivery, Revisions and Acceptance

We will deliver work according to the agreed timeline and include the number of revisions stated in the quote. Work is considered accepted when you approve it, start using it publicly, or do not raise issues within 7 days of delivery.

6. Refunds and Cancellation

  • If you cancel a project after work has started, payment for work completed up to that point is non-refundable.
  • Advance payments are refundable only if we have not started any work.
  • Digital software products and licences are generally non-refundable once delivered or activated, except where the product does not work as described and we are unable to fix it.

7. Intellectual Property

After full payment, you own the final custom design and content created specifically for your project. We keep ownership of our pre-existing code, frameworks, tools and software products; you receive a licence to use them as part of your project or under the product’s licence terms. Third-party themes, plugins, fonts and images remain subject to their own licences. Unless you ask us not to, we may show completed work in our portfolio.

8. Software Licences

Our software products are licensed, not sold. Unless otherwise stated, a licence allows use for the number of businesses, users or domains in your plan. You may not resell, redistribute, copy or reverse-engineer the software without our written permission.

9. Support and Maintenance

Support is provided for the period and scope stated in your quote or plan. Issues caused by third-party updates, hosting problems or changes made by you or others after delivery may be charged separately.

10. Third-Party Services

Our work may rely on third-party services such as hosting providers, payment gateways, plugins and APIs. We are not responsible for their availability, changes or fees.

11. Limitation of Liability

Our services and products are provided on an “as is” and “as available” basis. To the fullest extent allowed by law, SoftVila is not liable for indirect or consequential losses such as loss of profit, data or business. Our total liability for any claim is limited to the amount you paid us for the service or product concerned. You are responsible for keeping regular backups of your website and data.

12. Confidentiality

We keep your business information, login details and project material confidential and use them only to deliver our services. See our Privacy Policy for how we handle personal data.

13. Termination

Either party may end a project with written notice. You must pay for work completed up to the termination date. We may stop providing services if these Terms are seriously breached.

14. Governing Law

These Terms are governed by the laws of Bangladesh. Any dispute will first be resolved through good-faith discussion and, if that fails, by the courts of Bangladesh.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of our site or services means you accept the updated Terms.
